E-Commerce Platform Terms and Conditions

I. General Provisions.

These Terms and Conditions govern the use of the e-commerce platform of the company Química e Ingenieros Consultores, S.A. de C.V. (hereinafter “QUIMICONSULT”) and its subsidiary companies (present or future), with principal address at Privada el Encino, No. 750, Colonia LaGrange, San Nicolás de los Garza, Nuevo León, México, ZIP Code 66490. For all applicable legal purposes, QUIMICONSULT and its subsidiaries are the companies that operate this platform.

These Terms and Conditions (hereinafter “The Terms and Conditions”) shall be deemed accepted each time Customers, whether individuals or legal entities, make use of our platform. For this reason, we kindly invite our Customers to review them carefully before using the platform. If you do not agree with them, we invite you to refrain from using the platform.

This platform is intended to provide our Customers with information about our products and services, as well as information related to their order history, credit limit and account balances, invoices, product or service availability by location, estimated prices, and information about QUIMICONSULT and its subsidiaries, among other details. Any use of this platform for purposes other than those intended may be monitored and, where applicable, restricted by QUIMICONSULT and its subsidiaries.

Customers are hereby informed that this platform contains various elements considered intellectual property, which are protected under applicable law, including but not limited to: trademarks, trade names, copyrights, domain names, designs, and others, which are lawfully used by QUIMICONSULT and its subsidiaries, whether in their own right or with the consent of their respective owners. Any use, copying, reproduction, transmission, disclosure, or modification of such rights may be pursued by QUIMICONSULT and its subsidiaries or by their respective owners, through the relevant legal channels.

For the foregoing reasons, our Customers, by using this platform, express their acceptance of the following:

Observe, comply with, and accept the Terms and Conditions established on this platform.
Use the platform personally and solely for lawful operations.
Review and accept the Privacy Notice of QUIMICONSULT and its subsidiaries before providing your personal data, which must be provided correctly.
Do not use third-party information (whether personal, work-related, or banking) for transactions conducted on the platform, unless you have their authorization.

These terms and conditions, as well as this platform, may be modified by QUIMICONSULT and its subsidiaries from time to time, so before making any transaction we recommend consulting the current version, which will be available on our website quimiconsult.com

II. Platform Operations.

The use of this platform will be subject to the following conditions:

a. Platform Conditions.

This platform operates in UTC time zone (Guadalajara, Mexico City/Monterrey).
All date references made on the platform, in notes, orders, invoices, etc., shall be understood in day/month/year format (dd/mm/yy).

b. Language

The products and services published on this platform will be listed in Spanish and English. QUIMICONSULT may optionally provide certain information in other languages; however, in the event of any dispute, the official version will be the one available in Spanish.

c. Prices and currency.

The valid price for products and services is the one reflected on the page at the time the transaction is made.

The official currency for listing products and services will be USD (US dollars). The transaction will be carried out with applicable taxes.

The exchange rate will correspond to that published in the Official Gazette of the Federation (DOF) on the day of the transaction.

d. Product Conditions and Characteristics.

QUIMICONSULT and its subsidiaries strive to provide their Customers with up-to-date and accurate information. However, in some cases information may be incomplete or inaccurate regarding product descriptions. No data transmission over the internet is 100% secure, therefore QUIMICONSULT and its subsidiaries suggest that their Customers verify the accuracy of all information and, if they have any questions, direct them to the Customer Service Center at: servicioacliente@quimiconsult.com.

In the event that information available on the platform is incorrect, outdated, or incomplete, QUIMICONSULT and its subsidiaries reserve the right to correct, clarify, or complete information prior to the execution of any transaction.

QUIMICONSULT and its subsidiaries list online the products displayed through this platform. QUIMICONSULT and its subsidiaries may list their products at retail or wholesale, depending on the products in question.

The characteristics, conditions, colors, size, and, where applicable, pieces will be described on this platform and will form part of the advertised product.

Some of the products advertised and sold through the platform are considered hazardous materials ("HAZMAT"). The responsibility for QUIMICONSULT and its subsidiaries limit themselves to announcing or disclosing the HAZMAT status of such products. Nevertheless, the purchase and handling of these products shall be the sole and exclusive responsibility of the Customers, who, by purchasing them, assume they have the personnel, conditions, experience, and necessary elements to receive, transport, store, and generally make use of these products.

Customers shall be solely responsible for having the licenses and permits necessary to use HAZMAT products.

The purchase and handling of products not classified as HAZMAT shall be the sole and exclusive responsibility of the Customers.

The disposal and/or elimination and/or recycling of the containers holding the product (HAZMAT and non-HAZMAT) shall be the Customer's responsibility.

e. Profile Creation.

Customers may register one or more accounts on the platform by creating profiles that may be operated by various users. In addition, companies may in turn create sub-profiles for their subsidiary or affiliated companies.

Once the relevant information has been entered, Customers shall be solely responsible for the profiles, sub-profiles, user role assignments, and transactions accepted by them on the platform.

The profile administrator shall be responsible and liable for the accounts or sub-profiles they add (including their cancellation, account use, passwords, etc.)

The platform may be used freely by domestic or foreign Customers, subject only to applicable legal restrictions or limitations established on the site.

QUIMICONSULT and its subsidiaries may cancel accounts, profiles, and/or sub-profiles without liability if they determine that there is any breach, non-payment, or misuse of the same.

f. Quotes.

The platform will allow Customers to request quotations for product purchases.

Prices may be subject to change depending on the selected volume, the Customer's location, merchandise availability, and other factors, and shall not be enforceable until the purchase transaction on the platform is finalized.

g. Placing Orders on the Platform.

Through this platform, Customers may choose and place orders for the products they wish to purchase. Customers may select the number of units they are interested in and, where applicable, choose the product characteristics before finalizing their orders.

Once orders are entered on the platform, they will be processed by the sales personnel designated by QUIMICONSULT and its subsidiaries.

The sales team will be responsible for verifying product availability and sending an order confirmation with order tracking details.

h. Payment Methods, Means, and Credit.

This platform will accept payments with the assistance of payment providers such as Multipagos, PayPal, Openpay, or any other designated by QUIMICONSULT and its subsidiaries.

These providers have their own Terms and Conditions, and we recommend that our Customers review them before conducting transactions on those platforms.

QUIMICONSULT and its subsidiaries reserve the right to accept other means and forms of payment, which will be published on the platform.

Additionally, QUIMICONSULT and its subsidiaries reserve the right to grant credit to certain Customers who meet the conditions established by QUIMICONSULT and its subsidiaries for such purposes.

i. Billing.

Customers may submit invoicing requests through the platform.
Likewise, they may consult their invoicing history regarding previous orders. QUIMICONSULT and its subsidiaries will be responsible for digitizing such information and will allow Customers access to it.

j. Product Delivery.

This platform will provide Customers with the means for product delivery, which may include home delivery — in accordance with our delivery policy — or pickup at a designated branch by QUIMICONSULT and its subsidiaries. Delivery methods will be confirmed upon completion of the order.

In the case of foreign customers, please note that shipments will be limited and may be subject to applicable legal restrictions. QUIMICONSULT and its subsidiaries will provide these customers with information about delivery limitations prior to order confirmation.

In the event that QUIMICONSULT and/or its subsidiaries are unable to fulfill order delivery due to force majeure, they may cancel such orders by refunding the price paid by the Customers, and must notify the Customer of the impossibility of carrying out the delivery.

k. Delivery Times.

Delivery times published on the platform are indicative and subject to availability, inventory, or force majeure. QUIMICONSULT and its subsidiaries will promptly inform their Customers about the status of their order and delivery progress.

In cases of force majeure, deliveries may be delayed or cancelled, without this being attributable to QUIMICONSULT and/or its subsidiaries.

l. Personal Data Protection.

For all applicable legal purposes, the party responsible for processing your personal data shall be QUIMICONSULT and its subsidiaries, with principal address at Privada el Encino, No. 750, Colonia LaGrange, San Nicolás de los Garza, Nuevo León, México, ZIP Code 66490.

Personal data provided through this platform will be used for matters related to order processing, invoicing, providing better customer service, conducting quality assessments, and providing promotional information. The full version of the Privacy Notice may be consulted at: quimiconsult.com.

n. Communications with the Customer.

All notices, information, or communications that QUIMICONSULT and its subsidiaries intend to share with the Customer may be made through the platform, or directly to the email account or phone number provided by the Customer.

o. Compliance with Terms and Conditions.

Access to and use of this platform constitutes tacit acceptance of these terms and conditions, which shall be deemed read and duly accepted. In the event of any dispute arising from the application or interpretation of these terms and conditions, QUIMICONSULT and/or its subsidiaries and the Customer shall submit to the conciliation procedure of the Federal Consumer Protection Agency (PROFECO) or to the jurisdiction of the courts of the City of Monterrey, waiving any other jurisdiction or venue, present or future, that may correspond by reason of domicile or any other cause.
